Gauss Trade Ltd. standard purchase order terms and conditions

1. PURCHASE ORDER

Each business transaction is executed in accordance with the respective purchase order placed by the purchaser. Each purchase order must include all the required information and must be transmitted via facsimile or electronic mail.

2. EACH PURCHASE ORDER MUST INCLUDE THE FOLLOWING INFORMATION

Business name of the company
ID number, Tax ID number
Purchaser’s contact person and his/her signature
Telephone and fax numbers
Purchase order date
Exact designation of the items, number of units, and price in an agreed currency
A price agreed in a currency other than CZK shall be converted at the mid-rate of exchange prevailing as of the date of the purchase order, as quoted by the Czech National Bank.

3. TERMS OF PAYMENT

Payment via bank transfer
Advance payment via bank transfer
Payment by cash on delivery
Payment on invoice with extended maturity

The goods shall remain the sole and absolute property of Gauss Trade s.r.o. until the Seller has received payment in full of the price, and the purchaser shall treat the goods as such.

4. TERMS OF DELIVERY

All the orders are executed within five to eight (5-8) business days. The delivery period for other goods shall be determined on a case-by-case basis. In the event that the delivery date cannot be met, the purchaser shall be notified in a timely manner.
The purchaser takes due note of the fact that delivery periods are tentative and subject to change. The Seller will make every reasonable effort to meet the anticipated delivery dates.

5. DELIVERY

All deliveries within the Czech Republic are effected free of charge. All deliveries outside the Czech Republic shall be effected by DHL, UPS, Fedex, unless otherwise agreed.

6. CANCELLING AN ORDER, RETURNING GOODS DELIVERED – Order Cancelled by the Purchaser

In the event that the purchaser is forced to cancel an order placed with the Seller, he is required to do so via facsimile or electronic mail, as in the case of order acceptance stipulated under Art. 1 above. The order may not be cancelled if the ordered goods have been shipped out of Gauss Trade, s.r.o. store or that of any supplier of Gauss Trade, s.r.o.

7. CLAIMS

The purchaser is obliged to inspect the goods no later than thirty (30) days after the delivery of the goods. Any deficiency ascertained in the delivered goods claimed after expiry of the above period shall be disregarded by the Seller.

8. LODGING A CLAIM

All claims shall be filed at the registered office of Gauss Trade s.r.o. at Zahradni 586, 742 13 Studénka, Czech Republic.

9. CLAIM PROCEDURE

The customer lodges a claim by producing proof of purchase (invoice and delivery note). The defect must be described in as much detail as possible and any previous repair affecting the warranty of the goods must be documented. The goods must be complete and accompanied by complete documentation. The goods may not be provided with any additional labels. Should the customer fail to satisfy the above conditions, the claim shall not be settled through replacement of goods or termination of the contract. The customer must request the RMA number without which the goods shall not be accepted by the Seller.

10. COMPENSATION FOR UNJUSTIFIED CLAIM

In the event that it is ascertained during repair that the cause of the defect is exempt from the warranty repair, or if the defect fails to manifest itself, the claimant is obliged to reimburse Gauss Trade s.r.o. for all costs incurred in conjunction with testing and handling the defected item.

11. COMPLAINTS AND DISPUTES

All complaints and disputes arising from claims shall be settled pursuant to applicable laws of the Czech Republic, namely the Commercial Code.
